1. General

1.1.

These general terms and conditions apply, to the exclusion of all other general or specific conditions of the buyer, to all orders and transactions via the website [www.shop.be-at-venues.be](http://www.shop.be-at-venues.be) relating to the products offered therein in the webshop.

1.2.

The website [www.shop.beatvenues.be](http://www.shop.beatvenues.be) is owned and managed by Be-At Venues, Schijnpoortweg 119, 2170 Merksem, Belgium, company number [BE 0461.051.688], e-mail address [webshop@beatvenues.be](mailto:webshop@beatvenues.be) and tel. +32(0)3 400 40 41. Be-At Venues acts as seller of the products offered.

1.3.

By placing an order via the website, the buyer fully and unconditionally accepts these general terms and conditions. Be-At Venues reserves the right to amend these conditions from time to time. Any amendments shall only apply to orders placed as from the date of amendment. Be-At Venues recommends that the buyer prints or saves a copy of these general terms and conditions when placing an order via the website.

The content of the website [www.beatvenues.be](http://www.beatvenues.be), including trademarks, logos, drawings, data, product or company names, texts, images, etc., is protected by intellectual property rights and belongs to Be-At Venues or entitled third parties. Links to other websites that may be of interest to the buyer are provided for information purposes only and Be-At Venues is not responsible for the content or use of the websites referred to.

2. Products

2.1.

Each product is displayed and described on the website in a concise, non-exhaustive yet as accurate as possible manner. If an offer has a limited period of validity, is subject to conditions or includes a discount, this shall be explicitly stated in the offer.

2.2.

Be-At Venues makes every effort to keep the information on the website as accurate, correct and up to date as possible.

Be-At Venues cannot be held liable for any material or technical error on the website [www.beatvenues.be](http://www.beatvenues.be), except in the event of gross negligence or fraud. The colour display of the products on the website depends, among other things, on the settings of the monitor and graphics card of the website user, meaning that the displayed colours may differ from the actual colours of the products.

2.3.

Be-At Venues does not guarantee that all products shown on the website are available and reserves the right to modify certain products, remove them from the assortment or discontinue their availability without prior notice.

2.4.

Be-At Venues holds the necessary licences or concessions from entitled third parties for all products offered. Each product complies with legal standards and may be sold online.

3. Placing orders

3.1.

Products may be ordered on the website subject to the following conditions and in the manner described below. The buyer declares to be at least 18 years old or to act with the express consent of a parent or guardian. The buyer is responsible for submitting the order. The buyer is, where applicable, the owner or authorised holder of a valid payment card to purchase the products.

Orders via the website are placed as follows: the buyer selects the products, provides personal details including a valid telephone number and e-mail address, chooses the delivery address and delivery and payment method, and agrees to the general terms and conditions of sale.

The payment is approved, Be-At Venues sends the buyer an e-mail confirmation of receipt of the order including the order number and details of the ordered products once the payment has been processed. Be-At Venues dispatches the products or the buyer collects them at the agreed address; the buyer receives the products.

3.2.

Be-At Venues reserves the right not to accept or to cancel an order if: a technical error occurred on the website at the time the order was placed or the website displayed incorrect pricing information; the ordered product or specification is unavailable; the security systems indicate that the order is abnormal or potentially fraudulent.

3.3.

In the event of refusal or cancellation of an order for one of the reasons mentioned in article 3.2, Be-At Venues shall, where applicable, refund the price already paid for the product as well as the delivery costs.

3.4.

The buyer is obliged to pay after entering the selected products, personal details and payment method, even if not all payment details are subsequently entered via the website.

4. Price

4.1.

The prices stated on the website for the products and services offered apply exclusively to the items as literally described. The accompanying photographs are intended for decorative purposes and may contain elements not included in the price. Prices are expressed in euros, including VAT but excluding shipping and delivery costs. Prices are valid on the day they are displayed on the website and apply per item unless otherwise stated. Be-At Venues shall not be bound by price indications that are obviously incorrect, for example due to clear input, typesetting or printing errors.

4.2.

Incorrect delivery addresses provided are the responsibility of the buyer and may give rise to additional costs.

5. Shipping and delivery costs

5.1.

Separate shipping, handling and any applicable taxes are entirely at the buyer’s expense and are displayed when the order is placed.

6. Delivery period

6.1.

Be-At Venues endeavours to keep all products offered on the website in stock at all times and to deliver them in a timely manner — i.e. within 10 working days after receipt of payment within Belgium and the Netherlands. However, circumstances may arise preventing timely dispatch and the target delivery date may not be met. In such case, the buyer shall be informed by e-mail that delivery will take longer than anticipated.

6.2.

The stated delivery dates are non-binding and do not imply an obligation of result to deliver the products on the target date. No delay in delivery shall give rise to termination of the sale or payment of any compensation to the buyer. Be-At Venues is entitled to make partial deliveries. In the event of non-delivery of the products, the sums paid by the buyer shall be refunded without interest or any other compensation.

6.3.

We always try to ship your complete order in one shipment. This also applies if your order consists of multiple products, of which at least one product is a pre-order item. In this case, your order cannot be split, but your entire order will be shipped at once as soon as all products are effectively available.

7. Liability

7.1.

These general terms and conditions fully and exhaustively describe all obligations of Be-At Venues with regard to the products (and their delivery). To the extent permitted by law, no other guarantees, conditions or arrangements shall apply to Be-At Venues other than those expressly stated in these conditions.

7.2.

Be-At Venues shall under no circumstances be liable for any economic loss (including but not limited to loss of income, profit and/or turnover or anticipated savings), loss of goodwill or reputational damage, nor for any other indirect, unforeseeable, special or consequential damage suffered by the buyer, however caused.

8. Exchange and return policy

8.1.

The customer has the right, within a period of 14 calendar days from the day following delivery, to withdraw from the sale or exchange the product.

8.2.

You must return the product without undue delay and in any event no later than 14 days after the day on which you informed us of your decision to withdraw from the agreement, at your own expense, to Be-At Venues, Schijnpoortweg 119, 2170 Merksem, Belgium.

Reimbursement shall take place no later than 14 days after Be-At Venues has received the returned products.

8.3.

Returns are a right, but in order to keep the logistics manageable we ask that returns be notified in advance to Be-At Venues. To do so, the buyer must submit a request in advance, preferably electronically via this model form. You will receive a response within 5 working days following confirmation by Be-At Venues.

8.4.

Be-At Venues may refuse reimbursement or only grant a partial reimbursement if the returned product is visibly damaged or used, or if the return shipment was not sufficiently prepaid. The buyer shall be liable for any diminished value of the products resulting from handling beyond what was necessary to establish the nature, characteristics and functioning of the goods. Any items already worn, with labels removed or damaged, and discounted products cannot be returned. We therefore recommend that, when fitting the products, the original price tags are not removed, hygiene stickers or seals are not opened or removed, and the products are not used or damaged. If the quality of the products has been impaired due to use beyond what is described above, Be-At Venues reserves the right to reduce the reimbursement amount in proportion to the loss in value.

8.5.

The reimbursement includes the price paid including delivery costs (with the exception of any additional costs resulting from your choice of a delivery method other than the least expensive standard delivery offered by us) and shall be made using the same payment method used by you. If desired, the buyer may also receive a voucher (instead of a reimbursement), which can be used to order and pay for other products on the website [www.shop.be-at-venues.be](http://www.shop.be-at-venues.be). In the event of an exchange of products accepted by Be-At Venues (e.g. another size), the new shipping costs shall be borne by Be-At Venues.

10. Force majeure

Be-At Venues shall not be liable for any delay in performance or non-performance of its obligations due to events beyond its normal control, including all forms of force majeure. This includes strikes, a general shortage of raw materials, goods or services necessary for the agreed performance, and unforeseeable delays at suppliers or third parties on whom Be-At Venues depends.

11. Personal data

11.1.

All personal data are used exclusively for processing the order and shall never be made available to third parties, except where they are involved in carrying out your order.

11.2.

Be-At Venues is the controller responsible for the personal data collected via the website.

11.3.

Be-At Venues refers to its privacy policy published on [www.beatvenues.be](http://www.beatvenues.be) for matters not expressly regulated in this article.

15. Copyright

All information available on the website [www.beatvenues.be](http://www.beatvenues.be) is protected by copyright. It is not permitted to copy and/or distribute information originating from this website in any form whatsoever without prior written permission. Visitors and users of the website cannot derive any rights from the information provided. The texts or graphic representations on this website may not be reproduced and/or published, in whole or in part, in any manner whatsoever without the written consent of Be-At Venues.

16. Warranty

16.1.

You undertake to verify whether the quality and quantity of the delivered products correspond to your order. We expect your complaint regarding visible defects and/or non-conforming deliveries by e-mail within 5 days after delivery. We advise you to do so within these 5 days in order not to lose the right to submit a complaint for visible defects. Our customer service will inform you of the steps to follow in order to return the goods. You must always be able to provide proof of purchase, i.e. the confirmation e-mail of your purchase. In any event, any return of the goods may only take place after our prior written confirmation. This paragraph does not prejudice the following paragraph.

16.2.

You also benefit from the 2-year statutory warranty for consumers in accordance with articles 1649bis to 1649octies of the Belgian Civil Code. This warranty starts on delivery of the product. A complaint concerning a defect (i.e. a defect not caused by force majeure, improper use by you or a third party contrary to these maintenance instructions — including negligence, abuse, professional/commercial or abnormal household use — or resulting from normal wear and tear) should preferably be submitted by e-mail to our customer service no later than 2 months after discovery of the defect. If such notification is not made within a period of 2 months after discovery, you lose your right to submit a complaint for non-conformity or defect. Our customer service will inform you of the steps to follow in order to return the goods. You must always be able to provide proof of purchase, i.e. the confirmation e-mail of your purchase. In any event, any return of the goods may only take place after our prior written confirmation.

16.3.

The provisions of articles 1641 to 1649 of the Belgian Civil Code concerning the warranty against hidden defects of the sold goods remain applicable, even after expiry of the statutory warranty period described above. The same procedure as described above must be followed.

16.4.

If a delivered product proves defective and provided that the above procedure has been followed, we undertake to replace the product. If replacement is no longer possible, you may choose between replacement of the defective product with an equivalent product or reimbursement of all amounts received, including delivery costs relating to the products concerned. 17. Complaints and disputes

Complaints may be reported via the contact form or by telephone on +32(0)3 400 40 41. If no amicable solution can be reached, consumers may contact Becom. Becom shall mediate between the consumer and ourselves if the complaint appears justified at first sight. You may contact them via the complaint form, by e-mail or in writing at: Rue du Marquis 1, 1000 Brussels. Compliance with the application of warranty legislation is monitored by the General Directorate for Economic Inspection. You may report unlawful or unfair commercial practices via ConsumerConnect. You may also submit a complaint to the Consumer Ombudsman Service.

18. Severability

If any provision of these general terms and conditions is found to be (partially) unlawful or unenforceable, the remaining provisions shall remain fully in force and effect. Failure by Be-At Venues at any time to enforce any of the rights listed in these conditions, or to exercise any right hereunder, shall never be considered a waiver of such provision and shall never affect the validity of these rights.

19. Applicable law and competent courts

All agreements concluded with the buyer shall be governed exclusively by Belgian law. The courts of Antwerp shall have exclusive jurisdiction.
